1. Acceptance of Terms

By accessing and using Encryptix (“Service”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this service.

2. Service Description

Encryptix provides a cloud-based billing and invoicing software platform designed to help Indian businesses manage invoices, track inventory, monitor GST compliance, and maintain customer records. The Service includes:

• Professional invoice creation with GST-compliant templates
• Customer and product/service management
• Stock/inventory tracking
• Business analytics and reporting
• PDF invoice generation and download
• Email invoice delivery
• Bank details and UPI management
• User management and role-based access

3. Account Registration and Eligibility

To use Encryptix, you must:

• Be at least 18 years of age
• Be a registered business or sole proprietor in India
• Provide accurate, complete, and current registration information
• Maintain confidentiality of your account credentials
• Be solely responsible for activities under your account

You agree to provide accurate GSTIN and business information. False information may result in account suspension or termination.

4. Subscription Plans and Pricing

Encryptix offers the following subscription tiers:

Prices are in Indian Rupees (INR) and may be subject to applicable taxes. We reserve the right to modify pricing with 30 days' notice.

5. Billing and Payment

By selecting a paid plan, you authorize automatic recurring payments:

• Payments renew monthly or annually based on your selection
• Billing occurs on the same day each month
• Failed payments may result in service suspension
• You can modify your plan anytime, effective on the next billing cycle
• Downgrading results in prorated credits applied to future billing

6. User Responsibilities and Acceptable Use

You are responsible for:

• Ensuring all invoiced customers exist and transactions are genuine
• Maintaining accurate GSTIN and business registration information
• Ensuring GST compliance - we provide tools, NOT tax advice
• Consulting qualified CA/CPA for tax obligations
• Securing your password and account credentials
• Not sharing login credentials with unauthorized parties
• Notifying us immediately of any unauthorized account access

Prohibited Uses:

You may NOT use Encryptix for:

• Creating fraudulent or fake invoices
• Tax evasion or money laundering
• Sending unsolicited communications or spam
• Violating any applicable laws or regulations
• Unauthorized access or hacking attempts
• Reverse engineering or decoding the software
• Reselling or redistributing the service

7. Disclaimers and Limitations

7.1 No Tax Advice

Encryptix is NOT a tax advisory service. We provide tools to calculate and display GST amounts for your invoices. You are solely responsible for ensuring compliance with GST laws, filing returns, and consulting qualified tax professionals (CAs/CPAs).

7.2 “As-Is” Service

Encryptix is provided on an “AS-IS” basis without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free from viruses or harmful components.

7.3 Service Availability

Free Plan: No uptime guarantee. Service may be unavailable for maintenance without notice.

Professional Plan: 99.5% uptime SLA during business hours (9 AM - 6 PM IST, Monday-Friday). Scheduled maintenance may occur outside these hours with advance notice.

Enterprise Plan: 99.9% uptime SLA with 24/7 support and incident response guarantees defined in your SLA agreement.

8. Limitation of Liability

IN NO EVENT SHALL ENCRYPTIX BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunity
• Costs of substitute goods or services
• Tax penalties, fines, or GST compliance failures resulting from your use
• Data loss, even if we were notified of the possibility of such loss

Total Liability Cap: Our total liability shall not exceed the fees you paid to Encryptix in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Encryptix, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses arising from: (a) your use of the service, (b) violation of these terms, (c) violation of any laws, or (d) infringement of third-party rights.

10. Intellectual Property

All content, features, and functionality of Encryptix (including logos, design, text, graphics, and code) are the exclusive property of Encryptix or its content providers and are protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, modify, distribute, or display any content without our express written consent.

11. Termination

Encryptix may suspend or terminate your account:

• For non-payment of subscription fees (after 30-day notice)
• For violation of these terms or applicable laws
• For fraudulent activity or abuse of the service
• At our discretion with 30 days' notice

Upon termination, your access ceases immediately. You may request data export for 30 days after termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, specifically applicable to Delhi/NCR region. Any disputes shall be:

• First addressed through mutual resolution discussions
• Escalated to binding arbitration under the Arbitration and Conciliation Act, 1996
• Arbitration to be conducted in English in Delhi/NCR, India

13. Changes to Terms

We may update these Terms at any time. Significant changes will be communicated via email. Your continued use of Encryptix after changes indicates acceptance.
